1.1 Agreement
These Influencer Terms and Conditions govern your use of the Nexaflow platform as an influencer or content creator. By creating an influencer account or using influencer features, you agree to be bound by these Influencer Terms in addition to the Website Terms and Conditions.
1.2 Influencer Definition
For purposes of these Terms, "Influencer" refers to any content creator who creates an account to participate in brand campaigns and create sponsored content through the Platform.
1.3 Individual Capacity
You represent that you are entering into these Terms as an individual content creator. If you represent a company or agency, separate terms may apply.
2.1 Profile Creation
Upon registration, you must provide accurate personal information including legal name, email, and contact details, be at least 18 years of age or if you are younger than 18 have parental consent to access the platform, have an active social media presence on supported platforms, create a complete and honest profile, and upload a professional profile photo.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials, all activities conducted through your account, ensuring compliance with these Terms, and promptly notifying Nexaflow of any unauthorized access.
3.1 Platform Connection
To participate in campaigns, you must connect your social media accounts. Supported platforms include Instagram, Facebook, YouTube, and TikTok. Connection occurs through OAuth secure authentication through official platform APIs. Required permissions include profile access, audience demographics, and post view metrics.
3.2 Data Collection from Social Media
When you connect social media accounts, Nexaflow automatically collects location data including audience demographics and geographic distribution, account verification including handle, follower count and account status, and performance metrics including historical view counts and engagement rates.
3.3 Automatic Updates
Location data is automatically updated monthly. Account status is monitored for significant changes. Location updates do not require reverification and have no active booking impact.
4.1 Manual Entry Requirement
After connecting social media accounts, you must manually enter your predicted views per platform. For example, "I typically get 5,000 views per post on Instagram/Facebook combined." Predictions represent your guaranteed minimum view delivery. Conservative estimates are recommended to ensure consistent delivery.
4.2 Prediction Guidance
The Platform provides suggested estimates based on your recent post performance. Suggestions are guidance only and not binding. You are solely responsible for the accuracy of your predictions. Your predictions become your performance guarantee to businesses.
4.3 Profile Status and Verification
Upon submitting or updating predicted views, your profile status changes to "Review". Nexaflow admin team manually verifies your claims within 48 hours. Verification involves checking your recent posts for actual view counts. You must keep your post view metrics public during verification. Once verified, your status changes to "Active" and your profile becomes visible to businesses.
4.4 Editing Restrictions
CRITICAL: You can only edit predicted views when you have no active bookings (confirmed campaigns). Adding a new social media platform counts as editing predicted views. This ensures businesses receive guaranteed view counts for confirmed campaigns.
4.5 Performance Tracking
Actual views are measured 7 days after content publication for tracking and analytics purposes. Your predicted views help businesses estimate campaign reach and plan their marketing efforts.
5.1 Campaign Search
You can search and filter campaigns by geographic location (city, region), industry or business type, campaign dates and duration, and offer type (monetary compensation or store credit).
5.2 Campaign Eligibility
Campaigns are greyed out (unavailable) if you have visited that venue within the past 4 months (prevents repetitive content), the campaign has reached or exceeded its booked view cap, you do not meet campaign-specific requirements, or your profile is not in "Active" status.
5.3 Campaign Interest
For available campaigns, you may mark as "Interested" to apply, mark as "Not Interested" to hide from your feed, view detailed campaign information before applying, and review business profiles and campaign requirements.
5.4 Application Process
When you apply to a campaign, your profile (including predicted views and performance history) is submitted to the business. Businesses may receive an "Agency Recommended" badge on your application based on automated algorithm. Businesses review applications and approve or reject. You receive notification of acceptance or rejection. No explanation is required for rejection.
6.1 Visit Booking
Once approved for a campaign, you select a visit date and time from available slots. Bookings must occur during the business's operating hours. You must respect business unavailable dates (closed/busy days). Booking requests are subject to business confirmation.
6.2 Booking Confirmation
After booking confirmation, the visit is added to your calendar, the booking becomes an active commitment, you cannot edit predicted views while this booking is active, and you are expected to honor the booking.
6.3 Publish Date Selection
You must set a publish date for your content within 3 weeks of your venue visit and within the same campaign month as your visit. Publish dates help businesses manage overlapping influencer content. Publish dates are added to a separate calendar for business tracking.
6.4 Booking Changes
You may request changes or cancellations with reasonable notice (minimum 48 hours). Last-minute cancellations (less than 24 hours) negatively impact your performance score. Repeated cancellations may result in account suspension. Businesses may approve or deny change requests.
6.5 No-Shows
Failing to attend a confirmed booking without prior cancellation results in immediate warning, damages your performance rating, may result in account suspension after 2 no-shows, and prevents future bookings until resolved.
7.1 Content Requirements
You agree to create authentic, high-quality content aligned with your usual style, follow campaign guidelines provided by the business, add the business as a collaborator on your post (mandatory for tracking), disclose sponsored nature of content according to platform and legal requirements, and comply with all applicable advertising standards and regulations.
7.2 Creative Freedom
While you must follow campaign guidelines, you retain creative control over content style and voice. Businesses cannot dictate exact wording (unless mutually agreed). You are not required to follow unreasonable or overly restrictive guidelines. Content must remain authentic to your brand and audience.
7.3 Disclosure Requirements
You must clearly disclose paid partnerships according to platform policies, use appropriate hashtags (#ad, #sponsored, #partnership), comply with FTC guidelines, ACCC regulations, and local advertising laws, and ensure transparency with your audience.
7.4 Content Submission
After publishing, submit the post URL through the Platform within 24 hours, ensure the business collaborator tag is active, and keep content published for a minimum of 30 days. Do not delete or significantly edit content during the tracking period.
7.5 Content Ownership
You retain full ownership of your created content. You grant the business a non-exclusive, perpetual license to share and repost campaign content. Businesses must maintain proper attribution when using your content. Additional usage rights require separate negotiation.
8.1 Compensation Types
Campaigns offer two types of compensation: Monetary Budget (direct payment in Australian Dollars AUD) and Store Credit (credit for products or services at the business venue).
8.2 Monetary Payment Eligibility
To be eligible for monetary payment campaigns, influencers must have a predicted view count of 10,000 or more across their connected platforms. Influencers with predicted views below 10,000 can participate in store credit campaigns only.
8.3 Processing Fee
For monetary payment campaigns, a 2% processing fee is deducted from the campaign budget to cover payment processing costs. This fee is automatically calculated and deducted when payments are processed.
8.4 Payment Structure
Compensation amounts are specified in campaign details before you apply. Payment is held in escrow upon campaign acceptance. Payment is released upon successful content delivery and verification. Payments are processed through Stripe to your connected bank account.
8.5 Payment Timeline
Campaign budget is held in escrow after booking confirmation. Payment is released 7 days after content publication. This allows time for view verification and quality review. Payments are typically received 3-5 business days after release.
8.6 Store Credit
If compensation is store credit, credit amount and terms are specified in the campaign. Credit can be redeemed at the business venue. Expiration dates and restrictions apply as specified by the business. Store credit is non-transferable and non-refundable.
8.7 Payment Disputes
If you believe you have not been compensated fairly, contact the business through the Platform messaging system. If unresolved, escalate to Nexaflow support within 14 days, provide evidence of completed obligations. Nexaflow will mediate and make final determination.
8.8 Taxes
You are responsible for all applicable taxes on your earnings. Nexaflow does not withhold taxes from payments. You may be required to provide tax identification information. You should consult a tax professional regarding your obligations.
9.1 View Tracking System
After content publication, the Platform automatically fetches actual view counts after 7 days. Views are compared to your predicted views at booking time. Performance data is recorded in your profile. Businesses receive analytics based on your performance.
9.2 Performance Metrics
Your performance is measured on view delivery (actual views vs. predicted views), engagement quality (likes, comments, shares - tracked but not guaranteed), timeliness (meeting publish date commitments), and professionalism (communication and booking reliability).
9.3 Performance Score
Your account maintains a performance score based on historical view delivery accuracy, campaign completion rate, booking reliability (cancellations, no-shows), business feedback and ratings, and content quality and guideline adherence.
9.4 Public Views Requirement
Your post view metrics must remain public during verification periods. If views are hidden, verification cannot occur. This may delay payment and negatively affect your performance score. Private accounts or hidden metrics may result in account restrictions.
10.1 Performance Threshold
While influencers are paid for their work regardless of actual view counts, a performance threshold of 80% of predicted views is tracked for reputation and recommendation purposes.
10.2 Payment Guarantee
Influencers will receive full payment for completed campaigns based on their bid amount, regardless of actual views delivered. Payment is not contingent on meeting predicted view thresholds.
10.3 Under-Delivery Warning System
If actual views fall below 80% of predicted: 1st Warning results in notice issued and logged in your account. 2nd Warning results in temporary restriction on new campaign applications. 3rd Warning results in account suspended for review. Warnings remain on your account for 90 days. These warnings affect your reputation and future campaign opportunities but do not affect payment for completed work.
10.4 Account Suspension
After 3 under-delivery warnings, your account is suspended from booking new campaigns. Active campaigns must be completed with full payment honored. Nexaflow reviews your account and predicted views. You may be required to adjust your predicted views downward. Reinstatement depends on demonstrated performance improvement.
10.5 Impact on Reputation
When you consistently under-deliver, your reputation is negatively affected and future businesses see your performance history. Agency recommendations may be revoked. However, payment for completed campaigns is always honored.
10.6 Over-Delivery Benefits
Consistently exceeding predicted views results in improved performance score, higher likelihood of agency recommendations, increased visibility to businesses, and enhanced reputation and booking priority.
You agree not to provide false or misleading information about your reach or influence, inflate or manipulate view counts or engagement metrics, use bots, fake followers, or engagement pods, create multiple accounts to circumvent restrictions, work directly with businesses to avoid Platform fees (during active campaigns), violate social media platform terms of service, create inappropriate, offensive, or illegal content, harass, threaten, or abuse business representatives or support staff, attempt to circumvent the predicted views system, delete or hide content before the minimum 30-day period, or misrepresent your relationship with businesses or campaigns.
12.1 Your Content Ownership
You retain all ownership rights to content you create, subject to licenses granted herein.
12.2 License to Nexaflow
You grant Nexaflow a worldwide, non-exclusive, royalty-free license to display your profile and content on the Platform, use your content for Platform marketing and promotion, share analytics and performance data with businesses, and store and process your content for Platform functionality.
12.3 License to Businesses
By participating in campaigns, you grant businesses non-exclusive right to share and repost campaign content, right to use content in marketing materials with proper attribution, perpetual license for campaign-related usage, and no rights to alter content in misleading ways.
12.4 Platform Intellectual Property
All Platform features, functionality, branding, and technology remain the property of Nexaflow and Ruygrok Marketing.
13.1 Agency Oversight
Ruygrok Marketing operates the Nexaflow Platform. The agency provides verification services for influencer profiles. Agency recommendations are provided through automated algorithms. The agency does not manage individual campaign negotiations.
13.2 Agency Recommendations
The "Agency Recommended" badge is applied when your performance history shows consistent delivery, your audience demographics align with campaign needs, your content quality meets professional standards, and automated algorithm trained by agency experts flags your profile.
13.3 Professional Development
Ruygrok Marketing may offer guidance on improving profile performance, provide tips for better campaign results, suggest professional development resources, and facilitate networking opportunities (optional).
14.1 Suspension Reasons
Nexaflow may suspend your account for three under-delivery warnings, violation of these Terms, fraudulent activity or false information, multiple no-shows or cancellations, abusive behavior toward businesses or support staff, suspicious or illegal activity, or social media account suspension or termination.
14.2 Termination
Nexaflow may terminate your account for repeated or severe violations of these Terms, fraudulent metrics or engagement manipulation, legal or regulatory violations, at our discretion with reasonable notice, or upon your request.
14.3 Effect of Termination
Upon termination, access to the Platform is immediately revoked. Active campaigns must be completed or will be canceled. Outstanding payments for completed work will be processed. You may not create new accounts without permission. Data retention follows our Privacy Policy.
14.4 Voluntary Closure
You may close your account at any time through account settings, provided all active campaigns are completed, all outstanding obligations are fulfilled, and there are no pending disputes.
15.1 Data Collection
We collect and process profile and contact information, social media account data and metrics, location and audience demographics, content and performance data, and payment and tax information.
15.2 Data Usage
Your data is used to provide Platform services and functionality, match you with relevant campaigns, verify performance and process payments, generate analytics for businesses, improve Platform features, and comply with legal obligations.
15.3 Data Sharing
We may share your data with businesses (profile information and campaign performance), payment processors (for compensation), social media platforms (for verification and tracking), service providers (hosting, analytics, support), and legal authorities (when required by law).
15.4 Social Media Data Updates
Location data is automatically updated monthly from connected accounts. Performance metrics are fetched as needed for verification. You can disconnect social media accounts, but this will prevent campaign participation. Disconnecting accounts may require reverification if reconnected.
15.5 Data Security
We implement industry-standard security measures. However, you acknowledge the inherent risks of internet-based services and sharing data with third parties.
15.6 Data Retention
We retain your data for as long as your account is active and as required by law. You may request data deletion upon account closure, subject to legal retention requirements.
You represent and warrant that you are at least 18 years of age, all information you provide is accurate and complete, you own or have rights to content you create, your content does not infringe third-party rights, you will comply with all applicable laws and regulations, your social media accounts are authentic and comply with platform policies, you have authority to grant licenses described in these Terms, and your predicted views are honest and achievable estimates.
You agree to indemnify, defend, and hold harmless Nexaflow, Ruygrok Marketing, and their affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, content you create or publish, your violation of these Terms, your violation of any laws or third-party rights, disputes with businesses or third parties, inaccurate predicted views or under-delivery, or false or misleading information you provide.
18.1 Platform Availability
The Platform is provided "as is" and "as available." We do not guarantee uninterrupted, error-free, or secure service.
18.2 Campaign Availability
We do not guarantee availability of campaigns in your area, acceptance of your applications, specific compensation amounts, or consistent campaign volume.
18.3 No Employment Relationship
You are an independent contractor. These Terms do not create an employment, partnership, or agency relationship.
18.4 Social Media Platform Changes
We are not responsible for changes to social media platforms that affect tracking, verification, or content distribution.
19.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXAFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST EARNINGS, OPPORTUNITIES, OR REPUTATION DAMAGE.
19.2 Liability Cap
NEXAFLOW'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO YOU BY NEXAFLOW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
19.3 Jurisdictional Variations
Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.
20.1 Relationship
You are an independent contractor, not an employee, agent, or partner of Nexaflow or the businesses you work with.
20.2 No Benefits
You are not entitled to employee benefits, including health insurance, retirement plans, or paid leave.
20.3 Tax Obligations
You are solely responsible for all taxes, including income tax, self-employment tax, and any applicable VAT/GST.
20.4 Business Relationship
Your relationship with individual businesses through the Platform is also that of independent contractor for each specific campaign.
21.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia.
21.2 Informal Resolution
You agree to contact Nexaflow support to attempt informal resolution before pursuing legal action.
21.3 Jurisdiction
Disputes shall be resolved in the courts of Sydney, New South Wales, Australia.
21.4 Class Action Waiver
You agree that disputes will be resolved on an individual basis, not as part of any class action or representative proceeding.
22.1 Entire Agreement
These Influencer Terms, together with the Website Terms and Conditions and Privacy Policy, constitute the entire agreement regarding your use of the Platform as an influencer.
22.2 Amendments
Nexaflow reserves the right to modify these Terms with reasonable notice. Continued use after modifications constitutes acceptance.
22.3 Severability
If any provision is found invalid, the remaining provisions remain in full effect.
22.4 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
22.5 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
22.6 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control.
22.7 Survival
Provisions that by their nature should survive termination (including payment obligations, indemnification, and dispute resolution) shall survive.
